ITMC LTD – Terms & Conditions

(Services to Business and Consumer Customers)

1. Definitions

  • “ITMC” / “We” / “Us” – ITMC LTD, Company No. [ 16588572 ], registered in England & Wales.
  • “Client” / “You” – the contracting entity or individual purchasing services (B2B or B2C).
  • “Business Customer” – a company or person acting wholly or mainly for business purposes.
  • “Consumer” – an individual acting wholly or mainly outside their trade, business or profession (Consumer Rights Act 2015).
  • “Services” – telemarketing, contact‑centre support, Pay‑by‑Link processing and related activities set out in the Order Form / Online Checkout.
  • “Order Form” – the signed document or online order confirming scope, price, dates and Service Level Agreement (“SLA”).

2. Scope of Services

ITMC will deliver the Services described in the Order Form or online checkout confirmation. A summary includes:

  • Outbound calling (lead generation, appointment setting, sales)
  • Inbound support (customer service, order queries, retention)
  • Multilingual coverage (EN, DE, NO, SV, FR, ES)
  • Pay‑by‑Link or card‑not‑present payments under PCI‑DSS

3. Service Levels (Business Customers)

Metric Target
Agent availability 95 % during contracted hours
Average speed of answer (inbound) ≤ 20 seconds
Reporting Weekly KPI report + monthly review

Service credits (max 5 % of monthly fee) apply if targets are not met and are the sole remedy for SLA failure.


4. Consumer‑Specific Rights

If you are a Consumer:

  • Cooling‑off period – You may cancel online/telephone orders for Services within 14 calendar days of order confirmation, unless the Services have been fully performed with your prior consent.
  • How to cancel – Email [ support@itmcglobal.com ] or use the cancellation form at the end of these Terms. We will confirm in writing.
  • Refund timing – We refund within 14 days of notice, using the original payment method.
  • Performance during cooling‑off – If you ask us to start work during the 14‑day period, you will pay for Services delivered up to cancellation.
  • Your statutory rights under the Consumer Rights Act 2015 remain unaffected.

5. Client Obligations (All Customers)

  • Provide accurate data, consents and product information.
  • Cooperate with ITMC for timely approvals and escalations.
  • Pay invoices per Section 7.

6. Data Protection

  • Each party complies with UK GDPR & Data Protection Act 2018.
  • ITMC acts as Processor; Client (Business or Consumer) acts as Controller.
  • Call recordings are stored 90 days (longer by written request) on UK/EU servers.
  • No data is transferred outside the UK/EU without consent.

7. Fees & Payment

7.1 Business Customers

  • Prices in GBP, ex. VAT.
  • Invoices monthly in arrears; due 14 days from invoice date.
  • Late payment interest at 4 % p.a. above Bank of England base rate.

7.2 Consumers

  • Prices shown include VAT where applicable.
  • Payment is due at checkout or as otherwise agreed.
  • No surcharges beyond the stated price except agreed card fees.

8. Term & Termination

  • Agreement begins on the Start Date and runs for the Initial Term stated in the Order Form.
  • After the Initial Term, either party may terminate on 30 days’ notice (Business) or under consumer cancellation rights (Consumers).
  • Immediate termination for material breach with 14‑day cure period.

9. Warranties

ITMC warrants Services will be carried out with reasonable skill and care. Except as set out here, no other warranties (express or implied) apply.


10. Liability

10.1 Business Customers

  • Aggregate liability per 12‑month period = total fees paid in that period.
  • Excludes indirect or consequential loss, profit loss, goodwill loss.

10.2 Consumers

  • Nothing excludes liability for death, personal injury, or negligence.
  • We are responsible for foreseeable loss caused by our breach; we are not liable for business losses incurred by Consumers.

11. Confidentiality

Both parties must keep Confidential Information private for 5 years after termination.


12. Force Majeure

Neither party liable for delays beyond reasonable control (e.g. outages, natural events).


13. Governing Law

English law governs; courts of England & Wales have exclusive jurisdiction.


14. Changes

We may update these Terms with 30 days’ notice (Business) or as required by law (Consumers).
